Sheboygan and Manitowoc Business Licenses: Lakeshore Clerk and Health Rules
Sheboygan and Manitowoc Business Licenses: Lakeshore Clerk and Health Rules
Wisconsin does not issue a general business license, at the state level or the county level, and most cities do not issue one either. What you need depends on what your business does. In Sheboygan and Manitowoc, that means three layers: state registration with the Department of Financial Institutions (DFI) and the Department of Revenue (DOR), a local clerk license if your activity is on the city's list, and a health or food license from the agency that covers your activity. This guide walks through those layers in order for both cities.
This content is informational, not legal or tax advice. Rules, fees, and agency assignments can change. If your situation involves a regulated occupation, multiple locations, a food business with a custom menu, or a sales tax question you cannot settle by reading a page, talk with a qualified attorney or CPA before you open.
Materials and Information You Need Before You Start
Gather these items before you contact any agency. Most delays come from missing information, not from the filings themselves.
- A written description of your activity: What you sell or do, whether you prepare or serve food, whether you sell taxable goods, and whether you operate from a fixed location, a vehicle, or a temporary stand.
- Your business name and owner details: Your legal name, your address, and whether you are a sole proprietor or plan to form an LLC or corporation.
- A federal Employer Identification Number (EIN): Free from the IRS. Most agencies ask for it on their forms.
- A Wisconsin registered agent: Required for every LLC and corporation. The registered office must be a real physical street address in Wisconsin, not a P.O. Box.
- A payment method: Most state filings are online and accept card or electronic payment. Some local applications, including the city clerk's operator license, must be filed in person and may require cash or check. Ask the office before you go.
- A floor plan or menu, if food is involved: The Sheboygan County Environmental Health staff will ask for these details.
Step 1: Confirm Which Licenses Your Activity Triggers
Start by listing every activity your business will perform. Then sort them into three groups:
- State registration for all businesses: Entity filings with DFI and a seller's permit with DOR if you sell taxable products or services.
- Local clerk licenses: In the City of Sheboygan, the City Clerk licenses taverns, taxicab businesses, massage establishments, pawnbrokers, secondhand dealers, transient merchants, landscapers, sidewalk cafes, and beverage operators.
- Health and food licenses: In Sheboygan County, Environmental Health acts as the agent for the Department of Agriculture, Trade and Consumer Protection (DATCP) for restaurants, retail food, lodging, campgrounds, pools, and mobile food units.
If your activity is not on any of these lists, you may still need a regulated occupational license from the Department of Safety and Professional Services (DSPS). Confirm that with DSPS before you assume you are clear.
Step 2: Form Your Entity With DFI (If You Want One)
A sole proprietorship needs no DFI filing, but an LLC or corporation does. Wisconsin business entities are filed with the Department of Financial Institutions, not a Secretary of State.
- LLC: The Articles of Organization (Form 502) carry a $130 filing fee. The annual report is $25 online, or $40 by mail, and is due in the calendar quarter that contains your anniversary of organization.
- Corporation: The Articles of Incorporation (Form 2) carry a $100 filing fee. The annual report uses the same $25 online or $40 by mail structure.
Search the name first in the DFI corporate records database. A search is only a preliminary check. The name is not final until DFI examines and files your document. An LLC name must include "limited liability company," "limited company," "LLC," or "LC." If you need time, you can reserve a name for 120 days for $15.
Online filings are usually accepted on receipt with immediate notice. DFI's statutory limit for processing new business filings is 5 business days. Expedited service is an extra $100 on top of the filing fee, and the document is acted on by the close of business on the first business day after receipt.
Wisconsin imposes no separate LLC franchise or privilege tax. By default, a multi-member LLC is taxed as a partnership and a single-member LLC as a disregarded entity, so profits flow through to the owners' individual income tax. An LLC that elects corporate treatment pays the 7.9% corporate income tax instead.
Step 3: Register With DOR for a Seller's Permit
Any seller of taxable products or services needs a Seller's Permit from the Department of Revenue. This is the closest thing Wisconsin has to a universal business registration. The initial permit costs $20 for a two-year period, and renewal costs $10 every two years.
You can register through the Wisconsin One Stop Business Portal at onestop.wi.gov, which registers your business with DFI, DOR, and the Department of Workforce Development in one pass. You can also apply directly through DOR's Business Tax Registration system. Apply through One Stop if you are forming an entity at the same time. Apply directly if you are a sole proprietor who only needs the seller's permit.
If you plan to use a name for your business that differs from your legal name, you can register a trade name with DFI for $15. Registration is optional.
Step 4: Set Up Sales Tax for Sheboygan and Manitowoc
The Wisconsin state sales tax rate is 5%. Manitowoc County sales tax began on January 1, 2025, and the combined rate in Manitowoc County is 5.5%. The local portion is the difference between that combined rate and the 5% state rate.
Your seller's permit covers all the sales tax you collect. You do not get a separate Manitowoc registration just because you sell there, but your point-of-sale system or invoicing software must charge the correct combined rate for the locations where you make taxable sales. Ask DOR how the local rate applies to the specific kinds of sales you make, especially delivery sales or sales that cross county lines.
Sheboygan County also levies the 0.5% county tax, so the combined rate in the City of Sheboygan is 5.5% as well. Confirm the current combined rate for your address on the DOR business pages before you set up your tax tables.
Step 5: Get the Sheboygan City Clerk License, If Your Activity Requires It
The Sheboygan City Clerk is located at 828 Center Ave. The clerk's office issues the licenses listed in Step 1. Most of these applications must be made in person, so plan a visit rather than mailing your paperwork.
For a beverage operator license, the operator license fee is $57, and it is applied for in person. If you plan to serve alcohol at a food business, you may need both a beverage operator license and a health license, and the two agencies handle them separately. Ask the clerk's office whether your specific activity needs a new license, a renewal, or a transfer.
Step 6: Plan Your Sheboygan Health and Food Licensing
Sheboygan County Environmental Health is the DATCP agent for restaurants, retail food, lodging, campgrounds, pools, and mobile food units. If you are opening a food business in the City of Sheboygan, contact Environmental Health before you sign a lease or buy equipment. Ask them about:
- Whether your plans need a review before construction or remodeling begins
- Which license category fits your operation, such as retail food, restaurant, or mobile unit
- Inspection timing and what happens if an inspection fails
- Whether your menu, prep methods, or product mix requires extra approval
Do not assume that a county health license is also a city license. Check both.
Step 7: Confirm Manitowoc Licenses and Health Rules
Manitowoc licenses its activities separately from the state and from Sheboygan. Manitowoc sets its own local license categories, and its clerk and health agency are separate from Sheboygan's. Before you apply, confirm the following directly with the City of Manitowoc:
- Which local clerk licenses apply to your activity, and whether they are filed online, in person, or by mail
- Which health agency issues food and retail licenses for your location, and whether it operates as DATCP's agent
- Whether your business needs any zoning approval, occupancy permit, or sign permit
Manitowoc has its own health and clerk rules, so do not apply the Sheboygan process to a Manitowoc business. A business in one city may not be able to use the other city's license.
Step 8: Check Zoning, Signs, and Building Permits
State and county registrations do not clear you to operate at a specific address. Before you sign a lease, check the zoning designation for your property with the city planning or building office. Some uses require a conditional use permit, and some signs require a separate permit. Your landlord may already know the requirements for the building, but confirm them yourself.
Tips and Common Mistakes to Avoid
- Assuming Wisconsin has a general business license: It does not. Ask what each activity requires instead of looking for one general permit.
- Filing with the wrong agency: Entity filings go to DFI. Tax registration goes to DOR. Local licenses go to the city clerk or the health agency.
- Using a P.O. Box as your registered office: DFI requires a physical street address for the registered agent. Mailbox services and answering services are not acceptable.
- Naming yourself as your own registered agent: An entity cannot be its own registered agent.
- Skipping the email address on the registered agent: DFI requires one on the formation document and on every annual report.
- Forgetting the annual report: LLCs and corporations must file each year, even if nothing changed.
- Setting the sales tax rate by memory: Check current rates on DOR's pages before you launch, and recheck them when you renew.
- Signing a lease before the health review: A food space may need changes that cost more than the rent you save.
What You Should Have When You Finish
When you complete these steps, you should generally have the following in hand:
- A DFI filing receipt or confirmation for your LLC or corporation, if you formed one
- A DOR seller's permit that matches the business name and address you plan to use
- Any Sheboygan City Clerk license your activity requires, issued after an in-person application
- Written confirmation from Sheboygan County Environmental Health about your food or lodging license category
- Written confirmation from the City of Manitowoc and its health agency about the licenses that apply to your Manitowoc location
- Your point-of-sale system set to the correct combined sales tax rate for each location
These steps are designed to help you operate on a clear legal footing. They do not guarantee approval, and each agency can apply its own review standards.
