Waukesha County Business Licenses: Waukesha, Brookfield, New Berlin and Menomonee Falls

If you are opening a business in Waukesha County, the licensing question is really a checklist of separate agencies. Wisconsin does not issue a general business license at the state or county level, and most cities and villages don't either. Licenses attach to what you do, not to the fact that you exist. Your business is registered with the Department of Financial Institutions (DFI) and, if you sell taxable goods or services, the Department of Revenue (DOR). Anything regulated, such as food, lodging, alcohol or a specific activity, is licensed by the agency that oversees it.

This guide covers the four communities people search for most: the City of Waukesha, the City of Brookfield, the City of New Berlin and the Village of Menomonee Falls. Menomonee Falls is a village, and it is the largest in the state, so it runs its own permit and clerk offices just as the cities do.

This guide is informational, not legal or tax advice. Fees and rules change, so confirm every figure with the agency named before you commit money.

Start with the state: entity filing and seller's permit

Two state registrations come before any local license.

Your entity filing with DFI

Business entities in Wisconsin are filed with DFI's Division of Corporate and Consumer Services, not with a Secretary of State. An LLC pays a $130 filing fee for Articles of Organization (Form 502), and its name must include 'limited liability company,' 'limited company,' 'LLC' or 'LC'. A corporation pays a $100 filing fee for Articles of Incorporation (Form 2). Both then owe a $25 annual report each year, due during the calendar quarter that contains the anniversary of formation: March 31, June 30, September 30 or December 31. A paper annual report adds a $15 surcharge, for $40 by mail. File online through DFI's Business Entity File Online, and check name availability in the DFI corporate records search. A preliminary search is not final, because the name is confirmed only when DFI examines and files the document. A 120-day name reservation costs $15.

Your registered agent must maintain a Wisconsin office at an actual street address. A P.O. box, mailbox service or telephone answering service does not qualify. The agent's email address is required on your formation document and on every annual report, and the entity cannot act as its own registered agent. Changing the agent or office costs $10 online or $25 on paper.

Your seller's permit from DOR

Any seller of taxable products or services needs a Seller's Permit from the Wisconsin Department of Revenue. It costs $20 for the initial two-year period and $10 to renew each subsequent two years. It is the closest thing Wisconsin has to a universal business registration, but it is a tax registration, not permission to operate. Register through DOR Business Tax Registration, or through the Wisconsin One Stop Business Portal, which registers a new business with DFI, DOR and the Department of Workforce Development in one pass. DOR's guidance for new businesses is on its new business page.

Waukesha County sales tax rate: 5%, with no county add-on

Waukesha County has no county sales tax. It is one of two Wisconsin counties absent from DOR's S-203 county rate list. A 0.5% county sales tax ordinance that had been planned for July 1, 2025 was withdrawn by the county executive, so it does not apply. The Waukesha County sales tax rate is therefore the 5% state rate, and the same rate applies in each community in this guide. Searches for a Waukesha WI sales tax, a Brookfield WI sales tax, a New Berlin sales tax or a Menomonee Falls sales tax lead to the same answer.

CommunityCounty sales tax add-onRate to start from
City of WaukeshaNone5% state rate
City of BrookfieldNone5% state rate
City of New BerlinNone5% state rate
Village of Menomonee FallsNone5% state rate

Taxability depends on what you sell. Confirm the current rate and the taxable categories on DOR's site before you configure a point-of-sale system, since rates can change.

Waukesha County Environmental Health: food, lodging and pools

Anyone searching for the Waukesha health department or the Waukesha County health department usually needs Waukesha County Environmental Health. Acting as DATCP's agent, it licenses retail food establishments, hotels, tourist rooming houses, bed and breakfasts, swimming pools and campgrounds countywide, which covers all four communities in this guide. Find its current contact information and fees through the county.

The license year runs July 1 to June 30. Build that cycle into your opening date and budget, and ask how renewals, inspections and late payments are handled. If you plan to sell food, ask before construction whether a plan review is required, because a kitchen layout is far cheaper to change on paper than in a finished space.

Keep this license separate from your clerk license. The county handles food, lodging and pool safety, while the municipal clerk handles alcohol and activities the city or village regulates.

Municipal licenses: clerks for alcohol, activities and room tax

Each city or village clerk licenses alcohol and listed activities, and collects room tax where that municipality has one. Waukesha, Brookfield, New Berlin and Menomonee Falls each run their own clerk's office, so an approval in one community does not carry over to another. Expect three areas to matter:

  • Alcohol. Selling beer, wine or liquor requires a license from the clerk of the municipality where you sell. Ask about forms, fees and processing time before you sign a lease.
  • Listed activities. Some activities need a clerk license. The list differs by community, so request the current version from the clerk.
  • Room tax. If you rent overnight lodging, ask whether the municipality collects local room tax and how you register and remit it.

Waukesha business license: what the search really means

Search results for a Waukesha business license often promise one permit for a flat fee. None of the four communities in this guide issues a general business license, but ask each clerk to confirm that no general license applies to your business. What exists is a set of activity licenses, each issued by the agency that regulates that activity. Regulated occupations are licensed separately by the Department of Safety and Professional Services (DSPS). Be cautious with any service that sells a general license, and check the requirement with the agency before you pay anyone.

Menomonee Falls building permit and occupancy

Building permits and occupancy approvals are set by each municipality, so a Menomonee Falls building permit comes from the village, not from Waukesha County. The village's building inspection and zoning staff handle construction, remodeling, signage and changes of use. Fees, forms and turnaround times are set by the village, so confirm them directly before you sign a lease. Ask these questions first:

  1. Does my buildout, remodel or change of use need a building permit?
  2. Does my business use fit the zoning at this address?
  3. Is an occupancy approval required before I open, and what must pass first?
  4. What are the current permit fees, and how long does review take?

Brookfield, New Berlin and the City of Waukesha work the same way through their own building departments. Do not assume one community's answer applies to another. Get the answers in writing and keep them in your lease file.

Recommended order of steps

  1. Choose your entity type. If you form an LLC or corporation, file with DFI and appoint a registered agent with a Wisconsin street address.
  2. Register for a Seller's Permit with DOR if you sell taxable goods or services.
  3. Identify which activities need a state or county license. Regulated occupations go to DSPS, and food, lodging and pool licenses go to Waukesha County Environmental Health.
  4. Ask your municipal clerk about alcohol, listed activities and room tax.
  5. Confirm building permits and occupancy approval with the municipal building department before you lease or build out the space.
  6. Calendar your DFI annual report, your seller's permit renewal every two years and your county license renewal for the July 1 to June 30 license year.

Common mistakes

  • Paying a third party for a general Waukesha business license that no agency issues.
  • Assuming a county sales tax applies. Waukesha County has none, so the rate is 5%.
  • Signing a lease before confirming zoning and whether the space can receive occupancy approval.
  • Opening a food business before the county Environmental Health license is in hand.
  • Using a P.O. box or mailbox service as the registered agent address.

When to get professional help

A single-owner business with one activity can often be handled with the agency pages above. Consult a Wisconsin attorney or CPA if you have multiple owners, plan to sell alcohol or offer lodging, hold real estate inside the entity, or have sales or operations outside Wisconsin.
